These Terms govern your access to and use of SYNE's website, platform and related services.
These Terms of Use ("Terms") govern your access to and use of SYNE's website, platform and related products and solutions (together, the "Services"), operated by SYNE, Inc. and its affiliates ("SYNE," "we," "us" or "our"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not access or use the Services.
SYNE's mission is to give the climate economy a continuous, independently verifiable risk intelligence layer - unifying ESG, carbon, physical and transition climate, water, supply-chain and financial data into a single register that enterprises, financial institutions, governments and non-profits can build on.
When you or your organisation registers for SYNE, you become a Registered User. Some public pages and resources - such as Insights and the Developer Hub's documentation - may be accessible without registration ("Visitors"). Registered Users are account holders and agree to: (a) provide accurate registration information; (b) use a strong, confidential password and notify us promptly of any unauthorised use of your account; (c) not share account credentials except with authorised users within your own organisation; and (d) comply with applicable law and this Agreement.
Where the Services are purchased by an organisation for use by its personnel, that organisation controls access to, and may obtain reports on, the use of the Services by its personnel, but does not thereby acquire rights to any individual's personal account credentials.
We may restrict, suspend or terminate an account that breaches these Terms, applicable law, or that we reasonably believe is being used to misuse the Services.
We may update these Terms, our Privacy Policy or related policies from time to time. Where a change is material, we will provide notice through the Services or by other reasonable means before the change takes effect. Changes are not retroactive. If you object to a change, you may stop using the Services and, if applicable, terminate your account before the change takes effect. Continued use of the Services after a change becomes effective constitutes acceptance of the updated Terms.
By registering for, accessing or using the Services, you agree to enter into a binding contract with SYNE, whether you are acting on your own behalf or on behalf of an organisation you represent. If you do not agree to these Terms, do not access or use the Services.
These Terms apply to syne.com, the SYNE platform and its constituent products, and other properties, applications and communications that reference this Agreement (together, the "Services"). SYNE, Inc. is the contracting entity for these Terms. Customers who purchase the Services through a signed order form or master services agreement are additionally bound by the terms of that agreement, which will govern in the event of any conflict with these Terms.
The Services are intended for use by businesses, financial institutions, governmental bodies, non-profit organisations and individuals acting in a professional or business capacity. To use the Services, you represent that: (a) you are at least 18 years of age or the age of legal majority in your jurisdiction; (b) if you are accessing the Services on behalf of an organisation, you have the authority to bind that organisation to these Terms; and (c) you are not barred from using the Services under applicable law or a prior SYNE restriction.
We will send notices to you within the Services or to the contact details you provide us, such as your email address. It is your responsibility to keep your contact information current; we are not responsible for your failure to receive a notice due to outdated contact information.
"Customer Data" means data, documents and other content that you or your organisation submit to the Services - for example, supplier records, emissions data, financial data or program outcome data. As between you and SYNE, you and your organisation retain all rights to Customer Data. You grant SYNE a limited, non-exclusive license to host, process, transmit and display Customer Data solely as needed to provide, maintain, secure and improve the Services, including for the specific product features you use, such as generating a risk score, a disclosure report or a benchmark comparison.
We do not sell Customer Data. Where we use aggregated or de-identified data to improve the platform's underlying models or benchmarks - for example, the sector and peer benchmarks shown in Market Intelligence - we do so in a manner that does not identify your organisation without your consent.
You are responsible for ensuring that Customer Data you submit is accurate to the best of your knowledge and that you have the right to submit it.
Paid Services ("Subscriptions") are billed according to the plan or order form applicable to your account. By subscribing, you agree that: (a) fees and applicable taxes will be charged in accordance with your billing cycle; (b) your payment method may be charged automatically at renewal unless you cancel in accordance with your order form; (c) prices may vary by region, currency or negotiated agreement; and (d) invoices are available through your account or from your account representative. Refunds, where applicable, are governed by the refund terms in your order form or, absent such terms, are at SYNE's reasonable discretion.
We aim to keep the Services available and reliable, but we may modify, suspend or discontinue any part of the Services, or change our pricing prospectively, upon reasonable notice as required by law or your order form. We do not guarantee uninterrupted or error-free operation of the Services. Where the Services are subject to a specific uptime commitment under your order form or service level agreement, that commitment governs over this general statement.
SYNE provides a platform for continuous risk intelligence, sustainability disclosure, green finance origination, supply-chain traceability, impact measurement and related products and solutions, as described on syne.com. Products include SYNE Climate Risk Management, Enterprise Sustainability, SYNE Trust, SYNE One and SYNE Plus, together with solutions including SYNE Ratings, SYNE Asset Marketplace, Professional Services, Green Finance, SYNE Carbon and Market Intelligence. The specific products and features available to you depend on your subscription.
SYNE Ratings is operated at arm's length from the SYNE platform under separate governance, and is not part of the Services described in these Terms. Where you access SYNE Ratings, its own terms of use apply.
You agree not to use the Services to: (a) submit data or content that is knowingly false, fraudulent or misleading; (b) upload or transmit malicious code, or attempt to disrupt, reverse-engineer or gain unauthorised access to the Services or other users' data; (c) infringe any third party's intellectual property, confidentiality or other rights; (d) violate applicable law, including export control, anti-corruption, data protection or sanctions law; (e) misrepresent your affiliation with SYNE or any other person or organisation; or (f) resell or provide the Services to third parties except as expressly permitted by your order form.
We may remove Customer Data or restrict access to the Services where we reasonably believe this section has been violated, and may terminate accounts responsible for serious or repeated violations.
SYNE and its licensors retain all right, title and interest in the Services, including the underlying software, methodology, risk models and platform design. Except for the limited rights expressly granted in these Terms or your order form, no rights are granted to you by implication or otherwise.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription term, solely for your organisation's internal business purposes.
Certain data underlying the Services is supplied by independently governed partners - for example, the geospatial, registry and climate-asset data partners described on our Partners page - and certain assurance, implementation or advisory services may be delivered by independent third parties. SYNE is not responsible for the acts or omissions of these independent partners, though we take reasonable steps to work only with partners we believe to be reputable. Where you engage a third-party partner directly, that partner's own terms apply to that engagement.
Our collection, use and disclosure of personal data in connection with the Services is described in our Privacy Policy, which forms part of these Terms. Where we process personal data on your organisation's behalf as part of the Services - for example, employee data within SYNE One - we do so under the terms of the applicable data processing agreement between us.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. SYNE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RISK SCORE, DISCLOSURE OUTPUT OR OTHER CALCULATION WILL BE ERROR-FREE OR SUITABLE FOR ANY PARTICULAR REGULATORY OR FINANCIAL PURPOSE. YOU REMAIN RESPONSIBLE FOR EXERCISING YOUR OWN JUDGMENT, INCLUDING, WHERE APPROPRIATE, SEEKING INDEPENDENT PROFESSIONAL, LEGAL OR FINANCIAL ADVICE, BEFORE RELYING ON ANY OUTPUT OF THE SERVICES FOR A MATERIAL BUSINESS, FINANCIAL OR REGULATORY DECISION.
TO THE FULLEST EXTENT PERMITTED BY LAW, SYNE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES. EXCEPT AS OTHERWISE STATED IN A SIGNED ORDER FORM OR MASTER SERVICES AGREEMENT, SYNE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO SYNE FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
Either party may terminate these Terms as provided below, though your order form may set out specific termination provisions that govern instead. On termination, your right to access the Services ends, though provisions that by their nature should survive termination will continue to apply, including confidentiality, intellectual property, disclaimers, limitation of liability, and any fees owed prior to termination.
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules, without prejudice to any mandatory consumer or data protection rights you may have under the law of your habitual residence. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA, and each party consents to personal jurisdiction there, except where your order form specifies a different governing law or venue, in which case that order form governs.
We respect the intellectual property rights of others and expect the same from users of the Services. If you believe content on the Services infringes your intellectual property rights, please contact us with sufficient detail to allow us to investigate, including identification of the material and the right you believe is infringed.
